These Terms apply to all visitors, users, and others who access or use the Website. By accessing, browsing, or using the Website, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree with these Terms or our Privacy Policy, you must not use the Website.

IN NO EVENT WILL CITYFINDR’S TOTAL LIABILITY TO YOU, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EXCEED THE AMOUNT YOU HAVE PAID CITYFINDR IN THE PAST TWELVE (12) MONTHS FOR THE SERVICE GIVING RISE TO THE CLAIM, OR, IF NO PAYMENT WAS MADE, ONE HUNDRED DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
15. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless CityFindr, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from or related to:

16. TERMINATION

Upon termination, your right to use the Website will immediately cease. All provisions that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and intellectual property rights) will remain in effect.
17. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of laws principles. Any legal action or proceeding arising out of or relating to these Terms or your use of the Website shall be brought exclusively in the federal or state courts located in Grand Traverse County, Michigan. You consent to the jurisdiction of such courts and waive any objection to venue.
To the extent permitted by law, all disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), unless CityFindr opts to pursue litigation in court. Any arbitration will take place in Grand Traverse County, Michigan, and will be conducted on an individual basis; class‑action or consolidated arbitrations are not permitted.
18. MISCELLANEOUS
Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Waiver: Our failure to enforce any right or provision under these Terms will not be deemed a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. CityFindr may assign or transfer these Terms and its rights without restriction.
Entire Agreement: These Terms, together with our Privacy Policy, any Subscription Terms addendum, and any additional terms we provide for specific features or services, constitute the entire agreement between you and CityFindr regarding your use of the Website.
